Welcome to Social-Lancer.com (the "Platform"). These Terms of Agreement ("Terms") govern your use of the services provided through Social-Lancer.com ("we," "our," or "us"). By accessing or using the Platform, whether as an influencer/freelancer ("Influencer") or as a client seeking influencer services ("Client"), you agree to these Terms. If you do not agree with any of the provisions, you must immediately discontinue your use of the Platform.

Please read these Terms carefully before using the Platform.

1. Definitions

Influencer/Freelancer: A user who offers their content creation services (e.g., posts, videos, social media campaigns) through the Platform.
Client: A user who seeks to hire an Influencer for content creation, social media posts, marketing campaigns, or other services available through the Platform.
Platform: The online platform provided by Social-Lancer.com that connects Influencers with Clients, including its website, mobile apps, and any related services.

2. Eligibility

To use the Platform, you must:

Be at least 18 years old or the legal age of majority in your jurisdiction.
Have the legal capacity to enter into a binding agreement.
If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind the organization to these Terms.

3. Account Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account details updated. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.

4. Platform Use

A. For Influencers

Service Offerings: As an Influencer, you may offer services such as creating social media posts, videos, content creation, marketing campaigns, and other related services through the Platform.
Payment: Influencers are paid for the services they provide, as agreed upon with Clients. Payment terms, rates, and conditions are outlined between the Influencer and Client before a project is finalized. The Platform may charge a commission or service fee on each transaction, as specified.
Content Ownership: Unless otherwise agreed, the content created by you belongs to the Client upon full payment. Influencers may retain the right to showcase such content in their portfolio.

B. For Clients

Service Requests: As a Client, you may request services from Influencers, including content creation, posts, videos, and campaigns. You agree to describe your requests clearly and honestly.
Payment: You agree to pay the agreed-upon fees to Influencers for services rendered. Payment is processed through the Platform or an agreed-upon payment gateway.
Intellectual Property: Clients are granted usage rights to the content created by the Influencer upon full payment, subject to any specific restrictions agreed upon at the time of the project.

5. Payment Terms

Payment Methods: All payments for services rendered are processed through the payment gateways supported by the Platform. Clients will pay the agreed-upon amount for the services prior to or upon completion of the work, depending on the agreed payment structure.
Platform Fees: Social-Lancer.com may charge a service fee or commission on payments made to Influencers. The fee structure will be clearly disclosed on the Platform before any transaction.
Payment Disputes: In case of a dispute regarding payment, both Influencers and Clients must resolve the issue through communication. If necessary, the Platform may mediate the dispute at its discretion.

6. Prohibited Conduct

You agree not to:

Use the Platform for any unlawful or fraudulent purpose.
Violate any applicable laws, regulations, or third-party rights.
Post or distribute any offensive, harmful, defamatory, or infringing content.
Impersonate any person or entity, or falsely represent your relationship with any person or entity.
Interfere with the operation of the Platform or disrupt the experience of other users.
Use automated scripts, bots, or other tools to interact with the Platform in ways not intended by Social-Lancer.com.

7. Intellectual Property

Platform Content: All content provided on the Platform, including text, images, logos, graphics, and software, is owned by or licensed to Social-Lancer.com and is protected by copyright and intellectual property laws.
User Content: By posting content on the Platform (including profiles, project descriptions, and content created for Clients), you grant Social-Lancer.com a worldwide, royalty-free, non-exclusive license to use, display, and distribute that content for the purpose of operating the Platform and providing its services.

8. Confidentiality

Both Influencers and Clients agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of using the Platform, except as required by law or as otherwise agreed upon in writing.

9. Disclaimers and Limitation of Liability

No Guarantee of Results: Social-Lancer.com does not guarantee that Influencers will successfully obtain work, or that Clients will find suitable Influencers for their needs.
Limitation of Liability: To the fullest extent permitted by law, Social-Lancer.com and its affiliates, officers, directors, employees, agents, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Platform.

10. Indemnification

You agree to indemnify and hold harmless Social-Lancer.com, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising from your violation of these Terms, your use of the Platform, or your infringement of any third-party rights.

11. Termination

By You: You may deactivate your account at any time by contacting us at support@social-lancer.com.
By Us: We reserve the right to suspend or terminate your account, with or without notice, if we believe you have violated these Terms or engaged in unlawful conduct.
Effects of Termination: Upon termination of your account, your access to the Platform will be revoked, but any transactions or agreements made prior to termination will remain in effect.

12. Privacy Policy

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Delaware, USA, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Delaware, USA.

Social-Lancer.com reserves the right to modify or update these Terms at any time. When we do, the updated Terms will be posted on this page with a new "Effective Date." You are responsible for reviewing these Terms regularly. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
